OPERATOR REWARDS PROGRAM

Terms and Conditions

1. PROGRAM OVERVIEW. The MARS Foodservices® - “MARS Foodservices 500” Operator Rewards Program (the “Program”) gives eligible Foodservice Operator participants who purchase MARS Foodservices products from full-line Foodservice Distributors the opportunity to earn points (the “Points”) for purchases of at least ten (10) boxes of the participating MARS Foodservices US Singles products listed below (the “Eligible Products”) made between September 1, 2008 and October 31, 2008 (the “Program Period”). The Points are redeemable for the cash rebates and merchandise rewards described below (the “Rewards”), up to a maximum total value of $750.00 per participant.

2. ELIGIBILITY. The Program is open only to individual legal residents of the United States and business entities organized under the laws of any of the United States (in each case, excluding Puerto Rico and U.S. territories and possessions) who or which are Foodservice Operators purchasing and selling MARS Food US products as of September 1, 2008, excluding employees of MARS Food US and its affiliates, and who purchase at least ten (10) boxes of Eligible Products from full-line Foodservice Distributors during the Program Period. Distributors, contract customers and bid purchasers are not eligible to participate. Chains or affiliated groups must participate on an individual basis. For individuals, eligibility is subject to policies of participants’ employers concerning the acceptance of incentive benefits, and by participating in the Program, each individual participant warrants that s/he is eligible to participate under his/her employer’s policies. By participating in the Program, each participant agrees to be bound by these Terms and Conditions. MARS Food US reserves the right to disqualify any participant whose participation in the Program and/or claim for offered merchandise is determined by MARS Food US, in its sole discretion, to violate applicable laws or regulations, constitute fraud, or fail to comply with these Terms and Conditions.

3. POINTS. During the Program Period, each box of the Eligible Products listed below purchased is worth one (1) Point.

To redeem Points collected, participants must complete the Official Reward Request Form within this brochure and submit the completed Official Reward Request Form, together with a copy of the original distributor’s invoice(s), with all purchases of Eligible Products circled (the “Invoices”), to the address below:

Points are redeemable for up to a maximum value of $750 per participant. Any Points redemption request received in excess of this maximum vlaue will not be honored.

ALL POINTS REDEMPTIONS MUST BE POSTMARKED BY November 30, 2008 AND RECEIVED BY December, 19 2008. Participants should keep a photocopy of all items submitted in connection with each Points redemption. No incomplete, damaged, altered, forged or previously submitted Invoices or Invoices not obtained through authorized channels will be accepted. All Points redemptions are subject to verification by MARS Food US, whose decisions are final on all matters related to this Program. Please allow 4 to 6 weeks for delivery of Reward(s). Limit: one (1) Official Reward Redemption Form per location.

5. MISCELLANEOUS. Offer valid only for purchases made during the Program Period. Offer not valid on cases offered for resale. Offer can not be combined with any other MARS Foodservices® product rebate or promotional offer. Void where prohibited, restricted or taxed. By participating in this Program, participants agree to release and hold harmless MARS Food US and its authorized distributors and brokers, parents, subsidiaries, affiliates, officers, directors, employees and agents from and against any and all liability, loss or damages arising out of or in connection with participant’s participation in the Program and/or receipt of Reward(s). MARS Food US and its representatives are not responsible for late, lost, stolen, damaged, incomplete, misaddressed, postage due or misdirected Points redemptions or other communications.
